Not only are directors not worried about mere shareholders – but they act as if they own the company:

- They help select new directors – probably friends who work well together

- They determine compensation for the debt management advice that are beholden to the same CEO

- They get preferential tax-deferred payments – for all of 10-15 days work for non-employee directors

- They tend to be dismissive of shareholder proposals to improve corporate governance

So I would recommend that Occupy Wall Street take a new approach:

- buy stock in ‘bad companies’

- submit shareholder proposals to seek change

- solicit help from ISS and other share groups to support the changes

- change the companies with high level support from the proposals

You think boards don’t like Carl Icahn – this would give them a real scare

Example proposals to submit:

- Shareholder nominations for board members

- True elections – winners and losers – for filling unoccupied board seats

- Limits for management wages – some reasonable multiple over median wage

- Pay for management tied to success – improved revenue, profits, cash flow – and share price (if owners don’t get something why should the employees expected to run things)

- If management fails to produce – they should get no more severance than the nominal employee being let go – no reward for the big failures.

Mr Sewell, I absolutely agree with you. The IT industry is a circus with its high priests waving phony metrics around in many cases. The real value of cloud computing are primarily in the public cloud, Software As A Service model (such as Gmail advice for newlyweds email or SalesForce.com/Chatter for CRM) as they are not half steps which I would agree serve to sell hyped up product. The economics of public cloud SaaS applications is that they operate at economies of scale by using shared infrastructure and people. As businesses demand more computing systems, the qualified labor pool is unable to keep up with demand. The real future value of cloud computing lies where Matt Rdiley describes, today we see opportunity for business agility, innovation, competitive advantage and for larger enterprises long term cost savings. If you look at many larger businesses today you must recognize that many critical parts of the business processes have been virtualized into IT systems. Look around the workspaces and compare to the nature of work some 50 years ago here so much was done manually.

The US economy is now teetering from a wide variety of other factors including massive debt (especially as you include ‘unfunded obligations’ which are not considered as part of the debt; a shift in the labor workforce from semi skilled workers to knowledge workers which has manifested as a ‘jobless recovery’; and a variety of other issues).

Without reading all of the other posts, I am sure that Dan meant to liken the Obama administration to the Decepticons from the Transformers comics. The transformers were the good guys and not deceptive. In the story told in this advice column, clearly the adminstration deceives its marks by convincing them that the change being imposed is good, thus the DECEPTION.

To mix the metaphors of the article, its conclusion is correct: those who would support the continued intrusion of the federal government into their lives are not making their eggs vulnerable to being broken, all Americans are at risk.

Macs were the first consumer computers to have Wi-Fi cards built-in. Nor were there the security issues of today prior to the PC and consumer wireless becoming commodities. Now, ‘in the cloud’ makes much more sense than it would have then. Steve Jobs founded Apple as a youth and led it to its greatest success in middle-age. He knew how to change with the times.

I cannot think of any way this issue has to do with fascism.

So, we all went to college – live nice lives.

Opinion On “Incentives Not to Work”

Yep. America’s unsupportably high minimum wage of $7.25/hour, coupled with work disincentive programs that actually pay people MORE than the minimum wage, and government strangulation of business with excessive regulation keeps 50 million Americans sitting on the couch, watching Oprah on the HD, and drinking a cold one – all on the taxpayer’s dime. Food stamps, unemployment law advice insurance, worker’s compensation, SSI, AFDC, Medicaid, heating/housing allowances, etc. are all cancers eating away at American employment and productivity.

If America wants full employment again, it needs to reduce all work disincentives to $2/hour or less, cut the minimum wage down to $4/hour, and eliminate most of our labor regulations. I’m not seeing employment returning anytime soon because government policies are anti-employment. It looks more likely that we are in for a stagnant economy for the next two decades or longer.

THOSE OF US WHO ARE PAYING FOR THE 47% WHO DON’T PAY ARE FED UP. We want this free advice ride to stop. But those who are receiving the largesse want more, not less. Those who want more are the Obama supporters. And they are telling us that we are racist, greedy and mean for not wanting to give them more. We are reaching a point where those receiving the free ride are greater in number than those who are paying for it. This will either stop or no one gets anything. That’s where we are headed. These dregs who are occupying Wall Street in NYC and in other cities are not the huddled masses yearning to breathe free. They are simply a mixture of people, a few decent ones who can’t find jobs together with the larger number of pot-smoking freeloaders and anarchists, incited by Obama and his union thugs. They are defecating on police cars and breaking the law all in the name of getting more anyway they can.

If we don’t get rid of Obama and put in a new team who can fix this economy, this country is going to implode.

?Picking on grammar and language? as you put it, may be a common tactic. But bad grammar is, in most cases, a sign of careless thought. It is always a sign of a lack of respect for the reader.
